These Terms of Service ("Terms") govern your use of the QUVINT website and services. By engaging our services or using this website, you agree to these Terms.

Services Description

QUVINT provides custom AI marketing system design and implementation services. This includes building AI-powered workflows for content creation, social media management, design automation, analytics, and related marketing functions.

The specific scope of services for each client is defined in a separate service agreement or statement of work.

Payment Terms

• Payment terms, pricing, and schedules are outlined in individual service agreements.
• Unless otherwise agreed, invoices are due within 14 days of issue.
• Late payments may be subject to a hold on active services until the balance is resolved.
• All fees are non-refundable unless otherwise stated in your service agreement.

Intellectual Property

Client owns what we build. Upon full payment, all custom systems, workflows, templates, and deliverables created for you become your property.

We retain the right to use general knowledge, techniques, and non-proprietary methods developed during the engagement. We will not reuse or share any client-specific data, brand assets, or proprietary content.

Pre-existing tools, frameworks, or components that we bring into a project remain our property, though you receive a perpetual license to use them as part of your deliverables.

Confidentiality

Both parties agree to keep confidential information private. This includes business strategies, marketing data, system architectures, pricing, and any other information marked or reasonably understood as confidential.

Confidentiality obligations survive the termination of the service agreement for a period of two years.

Limitation of Liability

Our services are designed to improve marketing efficiency and output, but we do not guarantee specific business results such as revenue increases, follower counts, or conversion rates.

To the maximum extent permitted by law, QUVINT's total liability for any claim arising from our services is limited to the amount you paid us in the 3 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data.

Termination

• Either party may terminate a service agreement with 30 days written notice.
• We may terminate immediately if payment is more than 30 days overdue.
• Upon termination, we will deliver all completed work and assist with a reasonable transition period.
• Confidentiality and intellectual property provisions survive termination.

Modifications to Terms

We may update these Terms from time to time. Changes take effect when posted on this page with an updated date. For active clients, material changes will be communicated directly.

Continued use of our website or services after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of India. Any disputes will be resolved through good-faith negotiation first. If that fails, disputes will be subject to the jurisdiction of courts in West Bengal, India.
